Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and OdinZero ("OdinZero", "we", "us" or "our"). They govern your use of odinzero.com and every product you buy, download or use from us.

Our products include the OdinAdmin Bootstrap 5 admin template, OdinCMS and OdinStore licenses, premium modules, and templates for Next.js, Laravel, Nuxt.js and other frameworks that we may add (together, the "Products").

By creating an account, buying or downloading a Product, you agree to these Terms, our Privacy Policy, our Refund Policy and our License Agreement. If you do not agree, do not use our website or Products.

1. Accounts and eligibility

You must be at least 18 years old, or the age of majority where you live, to buy Products. If you accept these Terms for a company or agency, you confirm you have authority to bind it, and "you" includes that organization.

You are responsible for keeping your login details secure and for all activity under your account. Give us accurate information and keep it up to date. Tell us at [support@odinzero.com] right away if you suspect unauthorized access.

2. Purchases and payments

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries related to payments and handles returns. Your purchase is also subject to Paddle's Buyer Terms.

Prices are shown in US dollars on odinzero.com. Sales tax or VAT is calculated and collected by Paddle at checkout based on your location.
One-time purchases (for example OdinAdmin Pro) give you a perpetual license to the version you buy, plus updates for the period stated on the product page.
Subscriptions (for example All-Access plans) renew automatically each year at the then-current price unless you cancel before the renewal date. You can cancel anytime from your account or through Paddle. Cancelling stops future renewals; it does not refund the current period.
Price changes apply only to future purchases and renewals. We will email subscribers at least 14 days before a renewal price increase.
Founder or lifetime deals cover the Products and updates described in the offer at the time of purchase. They do not include custom work or services.
Refunds are handled under our Refund Policy and processed by Paddle.

3. Licenses

When you buy a Product, we grant you a non-exclusive, non-transferable license to use it under the license type you purchased. You buy a license to use the Product, not ownership of it. The full terms are in our License Agreement; this section summarizes them.

You may: modify the source code, use it in projects for yourself or your clients, and keep using sites built during a valid license after updates end.

You may not:

Resell, sublicense, share or redistribute the Product, its source code or license keys, whether modified or not
Publish the source code in public repositories, marketplaces or download sites
Use the Product to build a competing template, UI kit, theme or CMS product
Remove or bypass license checks, copyright notices or activation
Share one license across more projects or domains than it allows

Free and open-source editions. Free editions such as OdinAdmin Lite and OdinCMS Core are governed by their own open-source license (for example MIT), included in their repository. Those licenses take priority over these Terms for the free code. Premium Products and modules are not open source.

Activation. Some licensed software, such as OdinCMS and OdinStore modules, may verify license keys with our servers. You agree not to interfere with this verification.

4. Updates and support

Updates are available for the period stated on the product page or for as long as your subscription is active. We may add, change or remove features in updates, and we do not guarantee any specific future feature or release date.

Support covers help with installing and using the Product as shipped, and bug fixes. It does not cover customization, third-party plugins, hosting issues or custom development. Support is provided by email and community channels; response times are not guaranteed unless your plan states them. Custom work may be offered under a separate agreement.

Products may rely on third-party software, such as Bootstrap, Laravel, Next.js or Nuxt.js. Those components are governed by their own licenses, and we are not responsible for them.

5. Intellectual property

We and our licensors own all rights in the Products, the website, and the OdinZero, OdinAdmin, OdinCMS and OdinStore names and logos. Except for the license granted in these Terms, no rights are transferred to you.

You own the content and data you create with the Products. If you send us feedback or suggestions, we may use them freely without obligation to you.

6. Termination

We may suspend or terminate your account and licenses if you materially breach these Terms, for example by redistributing a Product or sharing license keys. Where reasonable, we will notify you first and give you a chance to fix the breach. On termination, you must stop using and delete the affected Products. Sections 5 to 9 survive termination.

You may close your account at any time by contacting us.

7. Disclaimer of warranties

The Products and website are provided "as is" and "as available". To the extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Products will be error-free, secure or compatible with every environment. You are responsible for testing, backups and security of the sites you build.

8. Limitation of liability

To the extent permitted by law, we are not liable for any indirect, incidental, special or consequential damages, including lost profits, revenue or data. Our total liability for any claim relating to the Products or these Terms is limited to the amount you paid us for the Product concerned in the 12 months before the claim.

Nothing in these Terms limits liability that cannot be limited by law, or your statutory rights as a consumer.

9. Indemnity

You agree to indemnify us against claims arising from your misuse of the Products, your breach of these Terms, or the content and products you build and distribute with them.

10. Governing law

These Terms are governed by the laws of Delaware, USA, without regard to conflict-of-law rules. Disputes will be resolved in the courts of Delaware, USA, unless the law of your country of residence gives you the right to bring a claim locally. Before starting any formal dispute, please contact us so we can try to resolve it informally.

11. Changes to these Terms

We may update these Terms as we add Products or change our services. We will post the new version on this page with a new effective date and email customers about significant changes. Continuing to use the Products after changes take effect means you accept them. Changes do not reduce the rights in licenses you already bought.

12. General

If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a right is not a waiver of it. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition or sale of our business. These Terms, with the documents linked above, are the entire agreement between you and us about the Products.
